Diligence Q&A Kit
Keep questions, evidence and approved answers together.
For: Deal teams coordinating answers across advisers and counterparties

- Record the exact question, counterparty and scope before drafting an answer.
- Support material claims with the relevant evidence document, section and revision.
- Keep an answer in Draft or Clarification needed until the designated reviewer approves release.
- Reuse approved wording only after checking that its evidence, audience and date still fit the new question.
01 / Practical guide
Capture the question before drafting an answer
Capture the request and intended audience before writing.
A diligence Q&A log connects a specific question with a responsible answer owner, supporting evidence, review state and permitted audience. It reduces the chance that two teams answer the same question differently or send an internal draft to the wrong counterparty.
- Record the exact question
- Name the answer owner
- Reference source evidence
- Approve the release audience
- Review reused answers

Capture the question before drafting an answer
Bring the essential details together before work begins.
Read the practical details
Record the original question, question ID, asking party, date and relevant request or document reference. If the question is ambiguous, clarify it before writing a confident answer. “Why did revenue fall?” may refer to a month, quarter, product line or accounting presentation.
Assign one owner to coordinate the response. They may need input from finance, legal, commercial or technical teams. Keep contributor notes distinct from the answer intended for release. A Q&A log should not become a shared dump of every internal discussion.
Separate questions that require different evidence or approvals. Link related questions rather than merging them into an answer that obscures what was actually asked. The user should be able to trace an answer back to the exact question and source version.
02 / Practical guide
Write an answer a reviewer can verify
Connect a precise answer to verifiable supporting evidence.
Start with a direct response, then explain the relevant context and identify evidence. State uncertainty where information has not been confirmed. An answer should not be more certain than the underlying records. If the source contains an estimate, keep that qualification in the response.
Write an answer a reviewer can verify
Follow the work in a clear sequence.

Use the answer template: direct answer, period and scope, evidence reference, material qualification and reviewer. Include document ID, revision and section or tab. A phrase such as “see financials” makes the reader search for the proof and can conceal a mismatch.
Distinguish facts from interpretation. A revenue number, its calculation method and a management explanation are different parts of the answer. Identify who reviewed each part where necessary. Do not label an answer independently verified unless that actually occurred.
Keep confidential background out of a broadly accessible answer. Questions about contracts, personal information or privileged advice may require a restricted process. Ask the authorised disclosure reviewer what can be stated and to whom.

Review and release to the correct counterparty
Obtain reviewer approval and release only to the intended counterparty.
Use Draft, In review, Clarification needed, Approved and Released. Approved means the nominated reviewer accepted the answer for a stated audience. Released means it was actually communicated. These states should not be collapsed when the disclosure is sensitive.
Review and release to the correct counterparty
Use a realistic example to show what changes.
Read the practical details
In the fictional example, QA-01 remains Clarification needed because a finance explanation is incomplete. QA-02 is Approved for legal reviewers. QA-03 is Draft because the churn definition needs confirmation. The same meeting can discuss all three, but none should be described as a finished answer without checking the state.
For several bidders or investors, keep permitted audiences explicit. An answer approved for one party may contain details that are inappropriate for another. Reuse verified facts where sensible, but recheck audience-specific wording and confidentiality before release.
Record the release date, method and answer revision. If a correction is required later, identify who received the earlier answer and provide a clear replacement through the agreed channel. Editing a live log does not automatically notify everyone who read an earlier export.
| Question ID | Question | Answer owner | Evidence | Review state | Approved audience | Next action |
|---|---|---|---|---|---|---|
| QA-01 | Why did revenue change? | Finance lead | FIN-04 tab Revenue | Clarification needed | Buyer A finance team | Explain recognition timing |
| QA-02 | Who owns the product IP? | Legal lead | IP-02 assignment register | Approved | Approved legal reviewers | Release reviewed answer |
| QA-03 | What does churn include? | Commercial lead | MET-03 methodology | Draft | Not released | Confirm definition |
Choose the next action
| Situation | Action | Outcome |
|---|---|---|
| Revenue recognition unclear | Ask finance to explain the timing with evidence | The answer stays unreleased until clarified |
| IP ownership answer approved | Release to the authorised legal audience | Reviewed wording reaches the right recipient |
| Churn definition still draft | Confirm the methodology before release | An ambiguous metric is not presented as settled |

Keep reusable answers current
Track changes to reusable answers when their evidence changes.
A repeated question is an opportunity to maintain one approved explanation with evidence, not to copy an old answer blindly. Check whether the period, underlying document or assumptions changed. Keep a review date so an answer does not become stale merely because it was once approved.
Keep reusable answers current
Verify the exact conditions that matter before closing the work.

When linking duplicate questions, preserve the asking party and original wording. One answer may satisfy both, but each question still needs a recorded release outcome. Avoid silently deleting a question because it resembles another one.
Use the blank worksheet for live work and the filled example to learn the workflow. Keep evidence references in your approved workspace. This kit does not validate financial statements, determine privilege or make disclosures automatically.
The Q&A process is complete when a released answer has an owner, evidence, approval, audience and version. Unanswered questions should retain a next action. A well-managed log makes uncertainty visible instead of hiding it behind polished prose.

Practical Q&A answers
Begin with the next unanswered question and name its review owner.
How is this different from a request tracker?
The request tracker manages collection and review of material. The Q&A log manages explanations, clarifications and their release. Link the two when a question arises from a request.
Can one answer address multiple questions?
Yes, where the scope genuinely matches. Preserve each question record and check the audience before reusing the response.
Should the entire log be shared externally?
Not necessarily. Internal drafts, reviewer comments and other counterparties’ questions may need restricted treatment. Create an approved external view.
What if the evidence does not support a firm answer?
State the limitation, assign the follow-up and leave the question open. Do not turn an assumption into a verified fact.
Where should I begin?
Take three open questions from your latest meeting, assign owners and add exact evidence references. Agree who can approve each answer before the next release.
